Senior Legal Counsel – Asia Pacific

A respected international asset manager is now looking for a Senior Legal Counsel to join its regional team.

The successful candidate will have responsibility for providing legal advice to the investment team and will advise the equity and fixed income investment professionals in the region including the equity capital markets (ECM), trading and investment compliance functions.? The role will also entail advising on the applicable legal and regulatory frameworks that govern our client?s activities and working closely with regulators and industry groups to reform this framework where appropriate.

Responsibilities

? Advising equity and fixed income investment professionals in Asia Pacific including interpreting law, regulations and investment guidelines; drafting and reviewing equity and bond documentation including ISDAs and other derivatives documentation; and advising on unlisted securities, market abuse issues and IPOs.

? Working with ECM on legal options and documentation for participation in equity and fixed income transactions e.g. buy and sell block trades and placements, IPOs, privatisations, placements and tender offers.

? Assisting and advising compliance on insider dealing and wall crossing procedures.

? Preparing and reviewing product documentation, confidentiality agreements, placing letters and other standard and non-standard documentation in support of investment management activity.

? Assisting global investment compliance on interpretation of investment regulations and laws within the markets in which our client operates and invests and within the product rules for investment.

? Analysing and providing advice on corporate governance issues arising in companies in which we invest to ensure that our client fulfils its stewardship obligations.

? Providing advice to investment managers on proxy voting and guidelines.

? Working with the investment team on contentious legal issues with companies in which we invest, such as where there is prejudice to minority shareholders or defaults in portfolio securities.

? Develop strong working relationships with the brokers and collaborate with them to achieve a commercial and timely outcome on all work undertaken.

? Assisting the fixed income business growth by negotiating new ISDA and other documents required to support fixed income products, particularly interest rate swaps.

? Monitoring developments which legally may affect the investment business and reviewing/drafting, with investment compliance, internal policies on investment matters.

? Presentations and training sessions to portfolio managers, analysts and dealing areas on relevant matters.

? General support and work with other departments and global entities with respect to country-specific and regional projects.

? Liaising with and instructing external counsel where necessary on all of the above.

Requirements

? Qualified Lawyer with 3-7 years post qualification experience.

? Currently in private practice or in-house in Asia Pacific with strong financial services experience.

? Prior experience negotiating ISDA and other derivatives-related documentation necessary.

? Spoken and drafting fluency in English (Mandarin a bonus)

? Knowledge of the relevant laws and regulations relating to the financial services industry.

? Excellent written and oral communication skills.

? Excellent organisational skills, accuracy and attention to detail.

? Must be able to work independently, show initiative, prioritise workload and take full responsibility for completion of duties, particularly when under pressure to meet deadlines.

? A positive and flexible attitude to work.

? Must be able to work in a team and must demonstrate team spirit and commitment.
