The Press Release
Linklaters is pleased to announce the publication by Sweet & Maxwell of ‘The Law and Practice of Securitisation’ written by partner, Alex Shopov, and counsel, George Gooderham.
The book presents an in-depth but accessible analysis of the law underpinning securitisation and each of its building blocks (including relevant finance and securities law fundamentals, examined through the securitisation microscope), its regulation in the UK and EU, its taxation and market practice. One complete body of knowledge which applies these principles to all asset classes and all securitisation products, including true sale, synthetic and corporate, public and private, standalone and programmatic, limited recourse and covered bonds, examining shared similarities and explaining the differences.
Securitisation is considered by many to be the “rocket science” of finance, especially formidable through a legal lens. It combines bonds, loans and derivatives into a single regulated ecosystem, designed to withstand insolvency.
In the words of Lord David Neuberger, Former President of the UK Supreme Court from his foreword to the book, it is “…a significant contribution to English legal literature, and in filling what has up to now been a notable gap. I believe that anyone involved or interested in securitisation will find this book invaluable, and that its insights will provide an excellent basis for the further development of English law in the area and beyond.”
Andy Vickery, Global Head of the Finance Division at Linklaters, comments:
“I’m delighted to share the news of Alex and George’s landmark legal text, years in the making. As a securitisation practitioner, I find the unprecedented scale of this work remarkable, it exudes great craftsmanship and care with even the smallest of details. Timely, not only because of the present momentum in the UK and EU to supercharge the financial markets through growth in securitisation, but also because the very same structuring techniques are core to private credit and its development across all jurisdictions we help clients in. This book speaks to our Firm’s belief in the pursuit of the deepest legal expertise for the benefit of our clients and the market in general.”
Alex Shopov, partner, and George Gooderham, counsel, are both in the structured finance team at Linklaters and have been advising clients on securitisations across the globe for over 20 years.
