Office of the General Counsel
Job Purpose:
The Asian Development Bank is the trustee of the Asia Pacific Carbon Fund which was established in May 2007 as an integral component of ADB?s Carbon Market Initiative. The Specialist will assist ADB in discharging its fiduciary and other duties as trustee of the Asia Pacific Carbon Fund, by acting as legal counsel of the Fund. The Specialist will assist the Fund in achieving its key result areas by identifying, managing and procuring solutions for all legal concerns and legal issues attending the operation and business of the Fund and by structuring, negotiating and documenting all Certified Emission Reduction (CER) purchase transactions to promote and protect the interests of the Fund. Work with broad policies and objectives, working directly with clients, with supervision for critical tasks.
Expected Outcomes:
a. Operational Support
Lead in providing legal services in the structuring, negotiation and documentation of CER purchase transactions; documentation includes confidentiality undertakings, heads of agreement, CER purchase agreements, guarantees.
Identify, analyze, manage and procure solutions for complex legal issues for CER purchase transactions and, in general, the operation and business of the Fund.
Mitigate legal risks for the Fund.
Advise on all legal matters arising in connection with the business of the Fund.
Advise the fund participants regarding, and assist the fund participants with, any legal concerns relating to their participation in the Fund.
Manage external counsel in the provision of legal assistance to the Fund.
b. Knowledge Sharing and External Relation
As necessary, communicate and liaise with other ADB professional and consulting staff relevant to the CER purchase transactions or, in general, the business of the Fund.
As necessary, engage with the Fund participants, with project entities, and with other third parties involved in the CER purchase transactions of the Fund.
Participate in and contribute to relevant internal and external training and conferences and other activities for advocacy, dissemination and knowledge building.
c. Dispute Management
Lead in providing legal advice in the resolution of disputes arising from projects supported by the Fund.
d. Staff Supervision
Provide leadership and support to reporting staff.
Supervise the performance of reporting staff, providing clear direction and regular monitoring and feedback on performance.
Ensure the ongoing learning and development of reporting staff.
Educational Requirements:
A university degree in law, preferably at post-graduate level or its equivalent, and admission as a lawyer in one or more of ADB?s member countries.
Relevant Experience And Other Requirements:
Suitability to undertake the responsibilities mentioned above at the required level
Demonstrated ability to meet the core competency requirements of the position
At least 8 years of relevant legal experience, with extensive experience and a proven track record in the structuring, negotiation, documentation and due diligence of CER purchase transactions, specifically for Clean Development Mechanism (CDM) projects located in ADB?s developing member countries; it is desirable that the applicant has strong experience in the negotiation and documentation of agreements for energy projects, including a strong understanding of project finance structures and agreements for energy projects
Extensive experience in the structuring, negotiation, documentation and due diligence of pooled CER purchase transactions, CER purchase transactions involving bundled projects, and CER purchase transactions involving CDM programs of activities
Extensive experience in negotiating CER purchase transactions with unsophisticated project entities and/or for very small CDM projects but with high development impact
Detailed knowledge of CDM and its rules, procedures and institutions
Strong understanding of the legal issues that attend CDM projects
Demonstrable familiarity with the implementation of CDM projects
Ability to work in a multi-cultural and multi-skilled team
Ability to inspire trust and confidence and promote a strong culture of honesty, trust and openness
Excellent oral and written communication skills in English; must be able to present and defend complex legal arguments and issues with a high degree of competence
International experience working in several countries
