JOB DESCRIPTION:

Transactional/ Front-end Legal
Manage the legal and contractual aspects of a variety of complex IT services contracts and projects from pre-sales to project conclusion, ensuring compliance with the company policies and procedures, applicable laws and contractual obligations.

Drafting, reviewing and providing advice on complex IT services contracts. Providing frontline support for negotiations, respond to complex inquiries regarding existing contract obligations and revisions, identify risks and issues, and suggest alternatives that lead to the best result for the company? all this, within a corporate environment in the local country.

Managing and advising the company leadership on legal and commercial risks associated with transactions, their potential impact and suggested mitigating actions.

Key Responsibilities
? Represent interests and interface directly with clients (as needed) and negotiating teams;
? Pro-active enabler in assisting the countries close-off contracts within the ambit of corporate policies;
? Ability to manage and lead deals independently;
? Draft, review and negotiate a broad range of contracts for medium to complex engagements;
? Strategize with the company executives and sales teams prior to client negotiations;
? Help develop, and understand, risk mitigation strategies for contractual risks;
? Structure client transactions to be most advantageous from a legal and business perspective for the company;
? Counsel, advise, and consult the company executives based on accurate interpretation of contract documents and the facts of a business opportunity;
? Extensive experience in drafting and negotiating various IT agreements, including software licensing agreements, maintenance and support agreements, managed services agreements, reseller agreements;
? Educate the management executives, namely the local country managers and finance directors in regard to legal and risk management issues;
? Escalation of variances from contracting policy or unusual risks to Regional Commercial
? Counsel and Regional Finance Manager;
? Stay abreast of legal developments affecting the company, its clients, and industries and synthesize the information to the region for incorporation into the company?s transactional practices;
? Hard working, well-organized, detail oriented and able to manage multiple projects simultaneously under tight deadlines.

RELATIONSHIPS
Internal Relationships
Reports to Regional Commercial Counsel, OHQ

External Relationships
Client counsels (as needed), client executives, external counsel (as applicable)

QUALIFICATIONS
? A minimum of 6 to 8 years of relevant experience, with a good blend of private and in-house experience;
? Fluent in both English (reading, writing and spoken) and Bahasa Malaysia/ Bahasa Indonesia/
Thai (or one of these would be an added advantage);
? Good mix of corporate, commercial and litigation experience;
? Candidates with exposure to the IT industry will have a distinct advantage.
