Job Purpose

The incumbent shall provide the highest level of legal advisory and support to the Asia Pacific Finance & Legal team. He/She will play an advisory role to advise the management team and all respective business units on all legal & compliance matters apart from the day to day responsibilities of reviewing and drafting of all types of legal and contract documents.? The incumbent may be expected to be present in business negotiations to protect the company rights and to give sound advice on the risk factors faced. Other responsibilities will include liaising with external counsel, attend to any arbitration proceedings, to liaise with UK Corporate office on any issues pertaining to legal & contracts matter and advise the management on corporate issues.

Dimensions

There is no direct report to this position. The post requires the ability to work closely with all key personnel in the Asia Pacific business region, including clients and legal counsels.

Principal Accountabilities

Advise and protect company operations in Asia Pacific on legal and compliance matters.
Provide legal guidelines, prepare & vet legal documentation to ensure Company?s compliance with relevant laws and regulations.
Advise management of problems situations, request appropriate responses and recommend appropriate corrective actions.
Advise Asia Pacific management from legal and contractual perspective in sales, business, operations, foreign investment, industrial relation and software licensing arena.
Responsible for preparing and maintaining company software product license agreement and service contracts with customers and other commercial contracts with company business partners to ensure compliance / risks are managed.
Responsible for ensuring protection of Company IPR, copyright, trade mark and other confidential information across the legal entities and operations of the company in Asia Pacific, in conformity with Group Policy and the local legal framework and legislations.
Assist in setting up company, office or other legal presence in Asia Pacific.
Responsible for legal / contractual review in bidding exercise.

Knowledge, Skills & Experience Required

Core requirements:

Possess Degree in Law or LLB (Hons) Degree from a recognized university
At least 5 years of practicing experience in a big & reputable law firm with exposure to international clients coupled with a minimum 5 years of commercial experience in big corporations operating internationally, particularly in Asia Pacific
Possess the expertise and working knowledge in
software licensing, copyright, intellectual property, trade mark registration & protection
contractual liability and indemnity
dispute resolutions (arbitration, court proceeding)
set up new operations in Asia Pacific countries (legal infrastructure and laws governing foreign investment etc)
Good command of spoken and written English and knowledge of Mandarin is an added advantage (written and spoken)
Excellent contract negotiation skills
Familiar with business culture and ethics in Asia and experienced in international business horizon
Possess good business acumen and a street wise personality
Willingness to travel
