Overview:
Chevron is developing and will initially operate a sour gas project in the Chuandongbei Block, Sichuan Basin in China. The Senior Counsel position will be filled by an expatriate lawyer working on a residential basis in Chengdu, China. We expect this to be a two-to-four-year assignment. He/she will report to the Senior Counsel for China on a functional basis, and to the General Manager of the Chuandongbei (CDB) project on a day-to-day basis.
Responsibilities for this position may include but are not limited to:
? Manage, subject to the direction of the Senior Counsel for China, the provision of general legal advice and counsel to the CDB project, and handle all legal issues arising out of or affecting the company?s participation in the project, including the legal work associated with the development and start-up of the project.
? Provide legal counsel and guidance to Chevron?s CDB project team on all matters arising, including but not limited to:
compliance with local laws and legal formalities
labor law and collective bargaining issues
land use, acquisition, rights of way and registration issues
contract negotiation and interpretation
resettlement issues
international petroleum and natural gas sales and transportation issues
banking and customs issues
interpretation of new and proposed laws
handling and protection of confidential information and proprietary technology
interpretation and implementation of corporate formation and governance documents
ongoing development of internal policies, procedures and compliance programs
local rules pertaining to expatiate workforce and partner secondees
act as local counsel for ESHIA and Property Transfer matters
? Coordinate and oversee, in coordination with the Senior Counsel for China, provision of legal services by outside counsel (law firms and partner counsel) as required in the course of business and in accordance with Law Function policy,
? Participate in negotiations with government agencies, Petro China (NOC partner), contractors and other entities to ensure effective legal representation of Chevron?s interests.
? Responsible, in coordination with Compliance, for the development and deployment of compliance programs for locally based management, employees and secondees.
? Responsible for corporate governance and advising on compliance with statutory requirements for relevant Chevron subsidiaries in China.
? Manage litigation, arbitration and other dispute resolution processes involving CDB project, and ensure adherence to the COBALT process.
? Responsible for preparation of and review of contracts and for ensuring compliance with Foundation Contracts process, Chevron Upstream and Gas contracting policies, local laws and regulations and partner agreements

Additional Responsibilities:
? Effectively communicate across broad functional and organizational lines.
? Take broad functional policy guidance on key issues from Managing Counsel for ASBU as well as senior cross-functional leaders.
? Involve other internal legal resources as required to successfully conclude project development activities.
Required Qualifications:
? Juris Doctorate or other advanced law degree
? Thorough understanding of and experience with the legal and commercial issues related to upstream oil and gas operations and be fully conversant with all corporate and Law Function policies and initiatives including without limitation Foundation Contracts, COBALT, OE and CSOC.
? Project development related experience and international contract law experience.
? Possess good interpersonal and communication skills and is team-orientated and client focused.
? Ability to deliver business orientated, cost-effective legal support and representation on a timely basis.
? Possess diplomacy, tact, and sensitivity to cultural diversity and is able to work in a remote foreign location with potentially challenging partners and sensitive commercial issues.
Preferred Qualifications:
? Ability to speak a Chinese dialect is desirable.

Expatriate assignments will be considered.
