Job Description
Purpose of the Job:
Monitoring of legal support required to match the needs of all operations in China Region.
Manage Corporate issues for a set of Legal Entities , amongst which JVs
Supervise a small team of Lawyers
Participate to implementation of Compliance policy
Being part of the Management Team in China HQ
Responsibilities:
Daily legal support to the operations of ALSTOM Grid in China
Address the needs of daily legal support for the operations
of ALSTOM Grid located in China (Suzhou, Shanghai,
Wuhan, Beijing?) with a small Team of In-house lawyers,
especially in the following main fields :
- Commercial contracts [ review T&C for bids and offers and other related agreements (subcontracts, consortium agreements) perform risk evaluation and negotiation, improve T&C, review purchasing agreements?] ;
- Advisory on all kind of transactions for the various functions (Finance, Sourcing, HR, ISO),
- Pre-litigation and litigation, with involvement and supervision of outside law firms where required
- Ensure proper support for intellectual property protection of Alstom Grid in China
Performance of the above may imply being out of
Shanghai at least one day a week
Participate to the compliance organisation in China
This area of responsibility involves
- Follow-up of Legal & Ethics Compliance issues
- Contribute to implementation of the Group Code of Ethics and Corporate instructions on commercial transactions
- Performance of training on Compliance
- Participation to the Regional Sales Compliance Committee
- Legal Support to the Regional Compliance Officer where required for customisation of contracts with Indirect Sales Channels
- Help promote Ethics culture
Supervise Corporate Law matters for a set of JVs and WOFEs
- Ensure proper handling of corporate governance issues and handling of corporate controllership and secretarial matters for a range of 15 Legal Entities, amongst which 9 JVs.
- Where required take part to the management of the relationship with JV Partners
Participate to Management Team in China
- Participation to Country Management Team and provide the support and viewpoint for the Legal function where required.
- Attend various meetings, Committees or events as a Member of the Management Team in the Country
Others
- Close interacting and networking with ALSTOM Grid Legal Department and ALSTOM Corporate Legal Department in China
- Rationalise use of Outside Counsel for China in the best cost effective way
- Keep alert to laws update and conduct legal research on assigned issues
Desired Skills & Experience
Educational Requirements:
Graduated from a top Chinese law school + a foreign legal degree from an English speaking country (US, England, Australia, Singapore)
At least 7 years of professional experience, in the Legal Department of a MNC + previous experience in a Law Firm of international reputation
Business understanding

- good written and verbal communication skills both in Mandarin and English
