About the Role and Responsibilities
About the Role:
You will provide legal support to the Company's offices throughout China, Taiwan, Hong Kong SAR and some areas of East Asia as part of a worldwide in-house legal organization.
As a well-rounded attorney with a strong legal background you will work with the business on a range of business matters focused on partnering with the sales team on negotiating contract agreements. You will be responsible for providing input and advice to staff on legal implications of decisions across a broad spectrum of business affairs in China and East Asia region.
Key Responsibilities:
- Manage legal business matters pertaining to the organization in predominantly China and some areas of East Asia
- Support the sales team, professional services team and other members of the sales and marketing organization
- Review, draft and negotiate a wide range of reseller and end user license agreements, professional services agreements, SOWs and other agreements
- Advising Human Resources in handling general employment matters for employees in China and some areas of East Asia
- Negotiate and settle litigation disputes
- Ensure compliance with legislation, directives and other regulations
- Ensure compliance with Export Regulations
- Providing a variety of general corporate and commercial legal services for in-house clients
- Acting as an advisor on legal issues involving the organization's government and regulatory compliance (including, without limitation, product certifications)
- Handling general legal matters, including corporate organization, drafting transactional documents, relationships with distributors, resellers and end users of company products and services
- Coordinating and managing work of outside counsel
Qualifications
Required Experience/Skills & Education:
- Qualified Lawyer with solid inhouse legal experience, preferably within an IT software MNC.
- Experience in a technology company setting with emphasis in software licensing work and contract drafting skills
- Experience with corporate matters, government contracts and compliance matters
- Knowledge of the principals of US GAAP and the revenue recognition rules within the software industry
- Experience in managing outside counsel
- Excellent English and Chinese (Mandarin) oral and written skills.
- Law degree from an accredited law school in China
