Description
Assist attorneys with corporate transaction-related tasks in the Hong Kong office.
Responsibilities
Prepare and maintain transaction files.
Prepare correspondence, audit letters, working group lists and closing checklists.
Assist with preparation of various deal documents including: Disclosure schedules; Exhibits; Tender offer materials; filings;
Officers’ and Directors’ questionnaires; Underwriters’ questionnaires; Financing statements; Listing applications; Employment
agreements; Proxy statements; Registration statements; Purchase agreements; Merger agreements.
Proofread and redline agreements.
Conduct research and prepare corporate profiles.
Assist with due diligence and manage data room.
Organize conference calls and meetings.
Coordinate work at the printer.
Provide closing assistance including: Prepare closing memorandum; Prepare closing documents; Order certified charters,
good standing certificates, tax status certificates and bring-down telegrams; Organize closing documents; Prepare closing
document files and distribution packages; Arrange for appropriate conference room facilities and services for preclosing and
closing; Arrange for filings, stock and wire transfers; Assist with execution, dating and conforming of documents.
Prepare bound volumes.
Perform other duties, as assigned.
Requirements

EDUCATION AND EXPERIENCE REQUIRED:
University degree.
Mandarin Chinese language skills preferred.
