Dear Colleagues,
I am pleased to announce that my co-authored casebook ?Chinese Business Law? with Daniel Chow will be published by West
this month. The book is intended for faculty in both law and business schools. It covers of most major issues that foreign investors
will encounter when doing business in China. We specifically avoided the usual IBT discussions on trade related issues but
concentrated on investments in China.
The book contains 8 chapters and begins, in Chapter 1, with an overview of the current business environment in China, including
a review of China's recent political history and the rise of its legal system. The chapter also highlights some of the current
issues in US -China relations. Chapter 2 introduces the various forms of foreign direct investments such as EJVs, CJVs and
WFOEs. Chapter 3 describes corporate reorganizations- mergers and acquisitions and anti-monopoly concerns. Chapter 4
focuses on labor and employment Issues faced by foreign companies. Chapter 5 discusses intellectual property laws including
patents, trademarks, copyrights and trade secrets as well as issues that foreign licensors need to be aware of when licensing
technology. Chapter 6 focuses on real estate transactions, including how to obtain land use rights. Chapter 7 covers taxation,
including Individual Income Tax, Enterprise Income Tax and Value Added Tax as they apply to foreign investors. The book
ends with chapter 8 discussing the various dispute resolution mechanisms available in China. The book includes many short
problems that can stimulate classroom discussion. The documents supplement contains relevant Chinese laws and regulations
that are helpful in answering many of the questions and problems in the text. A teacher?s manual is forthcoming.
